Santander completes $12.5B Webster deal as nine-month profit climbs 20%
What's the deal? Banco Santander has completed its $12.5 billion acquisition of US lender Webster Financial Corporation, confirmed in a Form 6-K filing to the US Securities and Exchange Commission alongside nine-month results. The deal, which closed on August 20, 2026, was paid 65% in cash and 35% in newly issued Santander shares.
What else closed? Santander also finalised its acquisition of UK lender TSB Banking GroupDealroom has a profile for this one. Try Dealroom → on April 30, 2026, for £2,867 million in cash. The two deals add scale on both sides of the Atlantic.
By the numbers: Santander reported €12,405 million in profit attributable to the parent for the nine months to September 30, 2026, up 20% from €10,337 million a year earlier. Net interest income rose 9.5% to €34,545 million, and total assets grew 14.2% to €2,102,334 million.
The headline jump was flattered by a one-off: the sale of Santander Bank Polska to Erste Group Bank AG generated a net capital gain of €1,895 million. On an underlying basis, profit rose 16% to €11.2 billion.
What changes for customers? Webster brings 4.2 million US customers, around 190 branches, and roughly €50 billion in gross loans, pushing Santander's US base to nearly eight million. TSB adds more than four million UK customers and some 180 branches. For now, everyday banking stays the same, with customers of both banks gaining fee-free ATM access.
What's the endgame? Santander is targeting about 18% return on tangible equity in the US by 2028. It has cited roughly £400 million of TSB synergies and $800 million for Webster, largely targeted by that year.
What could go wrong? The promised returns hinge on integration. The Webster deal cut 1.47 percentage points off Santander's CET1 capital ratio, and the harder test is delivering cost savings without disrupting the newly enlarged businesses.
The signal: The twin deals reflect selective banking consolidation rather than a broad wave, as lenders chase scale in chosen markets. Santander's early growth is clear; whether the synergies follow will decide if the expansion pays off.
