SPACCircle prices trimmed $100M SPAC IPO for digital assets, tech and healthcare
What's the deal? SPACCircle Acquisition Corp. priced its initial public offering at $100 million, selling 10 million units at $10.00 each. The blank-check company begins trading on the Nasdaq Global Market under the symbol "SCQCU" and expects the offering to close on October 28, 2026.
Who's involved? D. Boral CapitalDealroom has a profile for this one. Try Dealroom → is sole book-running manager. John Dicconson, former chief operating officer of Katch Entertainment, is chief executive officer and chairman; Augustin Meloty-Kapella, former chief financial officer of Explorer Acquisition, is chief financial officer.
What's the endgame? The Cayman Islands-incorporated SPAC is hunting for a merger target, with an emphasis on digital assets, technology, and healthcare. It has not selected a target or held substantive talks with one.
Why now? SPACCircle trimmed its deal to raise the capital. It filed in September for a $150 million IPO of 15 million units, then cut the size by 33% in an October 19 amendment. It also sweetened terms, raising the right attached to each unit to one-half of a share from one-third upon completing a business combination.
The signal: SPAC issuance has rebounded, with PwCDealroom has a profile for this one. Try Dealroom → counting 153 US SPAC IPOs raising $27 billion in the first nine months of 2026, up from 100 raising $18.8 billion a year earlier. But completed mergers lag: only 27 de-SPAC deals closed in that stretch, down from 35. SPACCircle's downsized offering and richer investor terms show the pressure sponsors face to get deals priced in a crowded field.
