Junior miner Graphano adds tax-advantaged shares to $643,000 placement
What's the deal? GraphanoDealroom has a profile for this one. Try Dealroom → Energy has amended a non-brokered private placement, adding a flow-through share component while keeping the total offering at up to US$660K (roughly $643,000). The TSX Venture-listed graphite explorer announced the original raise on October 5, 2026.
How it's structured: The revised offering splits into two parts. Up to US$475.2K comes from 8,640,000 non-flow-through units at US$0.06 each, each carrying a warrant exercisable at US$0.09 for three years; the remaining US$184.8K comes from 2,800,000 flow-through shares at US$0.07 each, with no warrants attached.
Why the flow-through shares? They channel funds into eligible Québec exploration spending and let subscribers claim tax deductions. That lets Graphano fund fieldwork without lifting its stated US$660K target.
What's the money for? Graphano is moving from prospecting at its Black Jack graphite discovery toward follow-up work. It has submitted samples for analysis, sought permission to expand exploration westward, and plans geophysics and drilling at Black Jack and Black Pearl.
The fine print: Proceeds from the flow-through shares must fund Canadian exploration expenses by December 31, 2027, with renunciation to subscribers no later than December 31, 2026. The offering may close in tranches, subject to TSX Venture Exchange approval, and all securities carry a four-month-and-one-day hold period.
The signal: This is a modest junior-explorer financing, not a major capital raise. Its significance will depend on whether the offering closes and whether drilling results support the exploration targets.
