Chenfeng pledge pushes guarantee balance to 196.8% of net assets
What's the deal? Zhejiang Chenfeng Technology said a wholly owned indirect subsidiary has pledged its 35% stake in associate Erenhot Guotian Beiwang Energy Storage Technology as security for Guotian Beiwang's finance lease with China Guoyin Financial Leasing. The guarantee is capped at US$31.3M and covers 35% of the debtor's obligations under the master contract.
By the numbers: After the deal, Chenfeng's total external guarantee balance rises to US$543.1M, or 196.8% of its latest audited net assets. The outstanding principal tied to those guarantees stands at US$207.6M, or 75.21% of net assets.
Why now? Guotian Beiwang is the project company for a 200MW/800MWh grid-side energy storage station in Erenhot, Inner Mongolia. The Shanghai-listed firm, which makes lighting components, said the guarantee helps the associate widen financing channels and cut borrowing costs.
What's the catch? The guarantee carries no counter-guarantee, leaving Chenfeng exposed through its pledged stake. Guotian Beiwang, incorporated in March 2026, reported no revenue and no profit as of September 30, 2026, with the project still under construction.
What could go wrong? If Guotian Beiwang defaults, the pledged 35% stake could be seized by the lender, hitting Chenfeng's equity investment. The company flagged two risk warnings: guarantees exceeding 50% of net assets, and the external guarantee balance topping 100%.
Conflict watch: The deal is a related-party transaction. Chenfeng deputy general manager Hua Liangliang serves as manager of Guotian Beiwang, which triggered the related-party classification. The board and shareholders approved the guarantee in July.
The signal: Chenfeng has been stacking guarantees for energy storage and new-energy projects in recent months, and its balance for associates alone now totals US$61.5M. In September it terminated a US$97.9M storage engineering contract in Erenhot after financiers demanded extra backstop responsibility — a sign that project financing and risk-sharing have become real constraints.
