Sun Pharma falls short of $824M bond target as investors demand higher yields
What's the deal? Sun Pharmaceutical IndustriesDealroom has a profile for this one. Try Dealroom → raised 78.16 billion rupees (about $824 million) through a post-IPO debt sale, missing its 100 billion rupee target, three merchant bankers told Reuters. India's largest drugmaker by market capitalisation sold two sets of bonds maturing in more than five years, with coupons of 8.05% and 8.20%.
What's the money for? The proceeds will partly fund a bridge loan Sun Pharma took to acquire US healthcare firm Organon & Co., a deal worth roughly $11.75 billion. The company closed a near-$12 billion, 18-month bridge loan earlier this year for the acquisition, which it now needs to refinance.
Why the shortfall? Investors wanted higher yields amid rising interest rates. With India's 10-year bond yield crossing 7.4%, the spread between sovereign and top-rated corporate bonds has narrowed, leaving buyers less compensated for taking corporate risk.
Not a credit concern. The miss "appears to be more a reflection of market pricing than concerns over its creditworthiness," said Saurav Ghosh, co-founder of bond trading platform Jiraaf. He noted that "at the proposed coupons, investors may see limited additional compensation for taking corporate exposure, particularly in a rising interest rate environment."
The details. The first tranche, a bond with a put option at 17 months, drew 20.03 billion rupees against a 30 billion rupee target. The second, a plain five-year bond, pulled in 58.13 billion rupees against 70 billion. Anchor investors accounted for 21 billion rupees of the total bids.
The signal: Even a highly rated, prominent issuer can struggle to raise its desired size on desired terms when yields rise. Indian companies have rushed to borrow domestically ahead of an expected Reserve Bank of IndiaDealroom has a profile for this one. Try Dealroom → rate hike, with billions in rupee debt lined up — but Sun Pharma's shortfall shows investors now hold the upper hand on price.
