Minsheng Education lands $44.9M revolving loan tied to control covenant

What's the deal? Minsheng Education Group has secured a revolving loan facility of up to US$41.3M (roughly $44.9 million) from China CITIC BankDealroom has a profile for this one. Try Dealroom → International. Each drawdown carries a maximum maturity of 12 months, and the company says the line will support short-term funding and financial flexibility.

What's the catch? The facility requires chairman and controlling shareholder Li Xuechun to keep at least a 51% stake. He currently holds 71.71% of the Hong Kong-listed company, so the covenant reinforces existing ownership concentration rather than changing it.

Who's involved? Minsheng is a private education operator serving mainland China, incorporated in the Cayman Islands and traded under stock code 1569. Its market capitalisation stands at US$52.5M.

Why now? The facility extends a pattern of bank borrowing. Minsheng disclosed a similar CITIC line in May 2025 and a separate US$41.3M Hang SengDealroom has a profile for this one. Try Dealroom → term loan in December 2025, with maturities of up to three years.

The backdrop: First-half 2026 revenue slipped 1.3% year over year to US$121.4M, and EBITDA fell 7.6%. Borrowings stood at US$389.1M against US$393.3M in cash reserves, so the new line reads as added working-capital flexibility rather than evidence of an acute shortfall.

The signal: At roughly $44.9 million, this is a modest facility — it sits near the bottom of comparable deals by size. For Minsheng, the story is less about fresh capital than about a lender tying financing to stable, concentrated control.
