Upstart lands $200M MUFG credit line to capitalize its planned bank
What's the deal? Upstart secured a senior secured revolving credit facility of up to $200 million from MUFG BankDealroom has a profile for this one. Try Dealroom →, the AI lender disclosed in an October 20, 2026 filing. Upstart Network, a wholly owned subsidiary of Upstart Holdings, signed the agreement on October 16, with MUFG acting as administrative agent, collateral agent, and lender.
Where's the money going? Proceeds will fund general corporate needs and, crucially, the initial capitalization of Upstart Bank, N.A. The facility is designed to "provide additional financing flexibility during the establishment and initial capitalization of Upstart Bank," the filing says.
Why now? The revolver is a bridge, not an equity raise. It follows the OCC's July conditional approval of the bank, which still must meet pre-opening requirements, including capitalization and operational readiness.
How it gets repaid: The facility matures at the earliest of three dates — 364 days after closing, 45 days after the bank's initial capitalization, or full repayment. Outstanding loans must be repaid with proceeds from affiliate loan sales to Upstart Bank, which the company expects to complete shortly after the bank opens.
Borrowings carry interest at Term SOFR plus an initial margin of 3.00%, within a leverage-based pricing grid of 2.75% to 3.25%. The company must keep minimum liquidity of $100 million, combined eligible assets plus liquidity of at least $300 million, and a secured gross leverage ratio no higher than 2.50 to 1.00.
What could go wrong? The repayment path depends on the bank opening, which remains subject to regulatory approval. The 364-day outside maturity sets a clock: Upstart needs its approvals and first loan sales in time to repay the revolver.
The signal: The revolver is launch financing that sits alongside Upstart's expanding loan-purchase commitments, including a renewed NeubergerDealroom has a profile for this one. Try Dealroom → pledge of up to $600 million and a CastlelakeDealroom has a profile for this one. Try Dealroom → agreement for up to $4 billion over 24 months. It marks a concrete step toward turning Upstart from an AI lending marketplace into a chartered bank — but the deal is evidence of groundwork, not of a bank already operating.
