Rainbow Display buys out $287M minority stake, lifting Hongyang ownership to 95.82%

What's the deal? Aerospace CH UAV subsidiary Rainbow Display Devices (600707.SH) has completed its US$263.4M acquisition of a 33.42% minority stake in controlled subsidiary Hongyang Display (Xianyang) TechnologyDealroom has a profile for this one. Try Dealroom →. The purchase, funded by self-raised capital, lifts Rainbow's ownership from 62.40% to 95.82%, with the registration change finalised and announced on October 20, 2026.

Who's selling? Three financial investors exited: Xianyang Jincai Equity Investment Partnership, CCB Financial Asset Investment, and BOC Financial Asset Investment. They had backed Hongyang in 2024 to fund the Xianyang G8.5+ glass substrate production line; buyout terms totalled 485 million, 771 million, and US$90.8M respectively.

What's the endgame? Rainbow called the buyout a move to cut finance costs tied to the investors' exit clauses and to tighten control over Hongyang. The subsidiary is the firm's platform for high-generation glass substrate, a segment long dominated by overseas suppliers, and supplies panel makers including BOEDealroom has a profile for this one. Why now? The deal extends Rainbow's "sell panels, buy substrates" strategy. In 2025 it sold a 30% stake in LCD subsidiary Rainbow Optoelectronics to BOE for US$666.7M while keeping control, redirecting resources toward the upstream substrate business.

What could go wrong? Hongyang's near-term results are soft. It posted revenue of US$81.4M and net profit of US$8.97M in 2025, but slipped to a US$940.5K loss in the first quarter of 2026 as substrate sell-through fell. Rainbow itself saw first-half 2026 net profit drop 77.87% to US$13.7M. A roughly US$264M cash outlay may also raise leverage and finance costs, and a 4.18% minority stake still remains.

The signal: This is a capital-structure and control play rather than proof of a profit surge. With consolidation scope unchanged and no new goodwill recognised, the payoff hinges on production ramp-up, yield, and cost competitiveness in domestic high-generation glass substrate.
