New Hope takes full control of Malabar in $1.8B all-share coal deal

What's the deal? New Hope Corporation has agreed to acquire the remaining shares in Malabar Resources it does not already own, bringing the two Australian coal producers together under a scheme of arrangement. The all-share offer values Malabar's equity at roughly $1.8 billion on a fully diluted basis, with Malabar shareholders receiving 0.500 New Hope shares for each Malabar share held.

Why now? New Hope, listed on the ASX, already held about 26% of Malabar, a stake it built up as Malabar developed the Maxwell underground mine. That mine moved from construction into production this year, delivering first longwall coal in April 2026 and officially opening in July.

What's the endgame? The deal gives New Hope full ownership of Maxwell, which targets up to 5.5Mtpa of saleable coal once its longwall is expanded. The combined group would carry a pro forma market capitalisation of about $6.3 billion and a pathway to roughly 19Mtpa of saleable production.

What changes? Existing New Hope shareholders would own about 79% of the combined group, with Malabar holders taking the remaining 21%. Malabar nominees Wayne Seabrook and Tony Haggarty will join the New Hope board, which the companies say provides "continuity of expertise" for Maxwell.

The transaction is unanimously backed by both boards and is expected to be implemented by March 2027, subject to Malabar shareholder, court, and regulatory approvals.

What could go wrong? Full ownership concentrates the risk of Maxwell's ramp-up on New Hope's balance sheet, leaving it exposed if production or metallurgical-coal prices disappoint.

The signal: The combination lands amid renewed appetite for Australian metallurgical-coal assets — Yancoal this month completed its US$1.85 billion purchase of an 80% stake in the Kestrel mine. For New Hope, converting a strategic minority holding into control of a growing, long-life asset is a bet that demand for high-quality metallurgical coal has further to run.
