Anthropic pledges 5% of shares to public benefit fund as it eyes record IPO
What's the deal? Anthropic will commit 5% of its shares to a new Anthropic Public Benefit Fund aimed at addressing AI-driven job disruption, the company said on October 18. The pledge is subject to shareholder approval.
How it works: The stake can grow with the company. Anthropic's board has discretion to add another 2% for every 50% rise in valuation above a set baseline.
What's the endgame? The fund, structured as a wholly-owned LLC, is built for flexibility — Anthropic says it could make large donations to nonprofits or direct payments to specific groups. None of its equity will be used for lobbying or political giving.
Combined with co-founders' pledge to donate 80% of their holdings and an employee equity-match program, roughly 20% of Anthropic's shares will be dedicated to public purposes.
Why now? The move builds on a separate $200 million fund announced in July to study and address AI's labour market effects. "AI can create enormous economic value, but it may also bring instability to many workers," the company said, adding that "a bolder approach may be needed."
It also comes as Anthropic prepares what would be the largest IPO for a public benefit corporation. A $65 billion round in May valued it at $965 billion, meaning the pledged equity could become a substantial sum.
What could go wrong? Key details remain unsettled. The pledge needs shareholder approval, and governance, valuation thresholds, and recipients have yet to be disclosed. Anthropic says it will share more in the coming months.
The signal: The announcement is a high-profile attempt to tie AI's potential gains to social remedies. But with terms undecided, it is a commitment of intent — not yet evidence of direct help for displaced workers.
