Chicane closes $22M reverse takeover, becomes Elton Resources

What's the deal? Chicane Capital I CorpDealroom has a profile for this one. Try Dealroom → has closed a reverse-takeover merger with Elton Resources Corp, a private British Columbia mining company, in a transaction valued at about US$22.6M (roughly $22 million). The combined entity has been renamed Elton Resources Corp.

How it worked: Chicane acquired all of Elton's securities through a three-cornered amalgamation, with Elton merging into a wholly owned Chicane subsidiary under British Columbia's Business Corporations Act. Elton shareholders received one Resulting Issuer share for each Elton share held, leaving them owning a majority of the combined company.

The mechanics: Before the deal, Chicane moved its jurisdiction from Ontario to British Columbia and completed a share consolidation of 0.75 post-consolidation shares for each existing share. That left roughly 4,491,000 Chicane shares outstanding before new shares tied to the transaction.

Why now? The closing follows a merger agreement dated May 26, 2026, and a string of announcements stretching back to April. It brings Elton to public markets without a traditional listing.

The signal: Reverse takeovers remain a common route for junior mining firms to reach public investors, letting private companies gain a listing through an existing shell rather than a fresh initial public offering.
