The share-transfer agreement, signed with controlling shareholders Li Guangping, Wang Chunxiao, and Li Yihan, formally took effect on October 13.

What are the terms? The three shareholders are transferring a combined 23,837,200 shares — 26.58% of Chaozhuo's total share capital at signing. Taiyang paid a first instalment of $10 million (reported as US$1.38M) on July 29 as a deposit. The overall deal value was not disclosed.

Why now? Taiyang's shareholders approved the purchase on October 13, satisfying the agreement's effectiveness conditions. On the same day, both sides signed a supplementary agreement detailing compensation responsibilities after the deal closes.

What changes? If completed, Chaozhuo's controlling shareholder becomes Taiyang, and its actual controllers change to Jiang Jiafu and Jiang Shicheng. Under the new terms, the sellers will cover liabilities such as unpaid social security, pending litigation, and undisclosed debts arising before the board and management are reshuffled.

What does Chaozhuo do? It is one of few domestic firms to industrialise cold-spray solid-state additive manufacturing for aircraft repair and remanufacturing. Its business spans custom additive manufacturing, airborne equipment repair, machine tools, and new-energy vehicle parts.

What could go wrong? The transfer still needs Shanghai Stock Exchange procedures and share registration. Chaozhuo said completion remains uncertain, though no party currently disputes performance.

The signal: Control deals like this one let strategic buyers absorb specialised, hard-to-replicate manufacturing capabilities — here, cold-spray tech for aviation — rather than build them from scratch.
