Eneva draws $349M top-up from Itaú, deepening investment-vehicle tie
What's the deal? Brazil's EnevaDealroom has a profile for this one. Try Dealroom → has received an additional US$452.8M (roughly $349 million) from Itaú UnibancoDealroom has a profile for this one. Try Dealroom → into Eneva Participações III, the vehicle it uses in its investment structure. The funding came through the subscription of new preferred shares carrying restricted voting rights, Eneva said on October 15.
How it's structured: Itaú now holds all preferred shares issued by Eneva III, while Eneva retains all the common shares. Both sides signed an amendment to the Eneva III shareholders' agreement to reflect the added investment.
The exit path: A notable term is a call option granted to Eneva. The company can repurchase all of Itaú's preferred shares between January 1, 2031, and December 31, 2032, or earlier in certain contractually defined situations.
Why it matters: This is a post-IPO equity injection, not a startup round — Eneva is a publicly traded Brazilian energy company tapping a major bank to expand an existing partnership rather than bring in new backers. The deal cleared Brazil's competition regulator, Cade, without restrictions.
By the numbers: At about $349 million, the top-up sits around the 65th percentile for deal size, placing it among the larger financings of its kind.
The signal: The structure — preferred shares with a defined buyback window — reads less like a straight capital raise and more like a financing arrangement with a built-in return path for Itaú. For Eneva, it secures bank capital now while retaining the option to reclaim full ownership by 2032.
