The RealReal refinances debt with $175M Fortress credit package

What's the deal? The RealReal, the online marketplace for authenticated luxury resale, has secured a $150 million senior secured term loan and a $25 million revolving credit facility from funds managed by affiliates of Fortress Investment GroupDealroom has a profile for this one. Why now? The move extends the company's secured debt maturity by roughly four years to October 2033 and eliminates a potential December 2027 springing maturity under the 2029 notes. The new facilities carry an initial rate of SOFR plus 5.75%, well below the 13% all-in rate on the notes being repaid.

What's the endgame? The RealReal says the refinancing should cut annual interest expense by about $4 million in the first year. It aims to reduce total leverage to $150 million in the medium term, partly by repaying convertible notes due 2028 from cash on hand.

By the numbers: The company has lowered total debt by more than $80 million over the past two years. The $25 million revolver, expected to be undrawn at closing, adds liquidity.

"This refinancing represents a key milestone in our plan to strengthen our balance sheet," said chief financial officer Ajay Gopal. Mac Maynard, managing director in corporate credit at Fortress, said The RealReal "has established a market-leading position in luxury resale backed by a differentiated business model."
