Dreamland's CEO puts $600K into her own company

What's the deal? DreamlandDealroom has a profile for this one. Try Dealroom →'s chief executive officer and director, Seto Wai Yue, bought 300,000 Class A ordinary shares at $2.00 each in a private placement, raising $600,000 in gross proceeds. The company disclosed the deal in a Form 6-K filed on October 13, 2026, covering a securities purchase agreement dated October 9.

The terms: Alongside the shares, Seto received 300,000 warrants at no extra cost. Each warrant lets her buy four Class A ordinary shares at an exercise price of $0.01 and expires on the fifth anniversary of closing.

What's the money for? Dreamland said net proceeds will go toward general working capital and other corporate purposes. The figure excludes any proceeds from future warrant exercises.

Governance: The placement was approved by disinterested directors, with Seto recusing herself from all related discussions and votes. As a foreign private issuer, Dreamland followed home country practice under Nasdaq Listing Rule 5615(a)(3), bypassing shareholder approval for the issuance.

The fine print: The securities are unregistered under the Securities Act of 1933 and were issued offshore to a non-US person under Regulation S. They carry transfer restrictions, and the warrants are not traded on any exchange. CFO Lee Wai Kit signed the filing.

The signal: A CEO buying into her own company is a vote of confidence, but the small size and insider nature of this raise point to a thinly capitalised issuer leaning on its leadership rather than outside investors for near-term funding.
