Teradyne takes $300M stake in chip-test firm FormFactor
What's the deal? FormFactor said automated-test-equipment maker Teradyne will buy $300 million of its common stock, part of a strategic technology collaboration between the two chip-test companies. Shares of the Livermore, California-based firm rose 3.6% in after-hours trading on the news.
What's the endgame? The two companies plan to combine FormFactor's probe technologies and interface solutions with Teradyne's test platforms. They will target test architectures for high-performance compute, advanced packaging, high-bandwidth memory, and silicon photonics.
Why now? Both sides frame the deal around surging demand for advanced computing and AI infrastructure. "The semiconductor industry is entering a period where test performance, scalability, and time-to-market are becoming decisive competitive advantages," said FormFactor chief executive officer Mike Slessor.
Teradyne president and chief executive officer Gregory Smith said the hardest test challenges "can't be solved by a single company," casting the investment as a bet on an "open, interoperable ecosystem."
The all-equity deal is subject to customary closing conditions and regulatory approvals.
The signal: At $300 million, this post-IPO equity raise lands in the top 10% of US hardware deals of its kind on record. It shows test infrastructure becoming a strategic chokepoint as chipmakers race to serve AI demand.
