The deal marks Gem Enviro's entry into the energy sector through a minority holding, with Solluz becoming an associate company.

The terms: Gem Enviro will subscribe to 2,110,680 equity shares, each with a face value of US$0.14, issued at US$0.34 — a US$0.2 premium per share. The agreement is not a related party transaction, as there is no pre-existing link between Gem Enviro's promoters and Solluz.

Why now? The revision amends an original agreement dated August 11, 2026, raising the issue price from US$0.33 to US$0.34 per share. That 4.17% increase adds roughly US$28.7K to the total outlay, lifting consideration from US$687.9K to US$716.6K.

What does Gem Enviro get? Despite the minority stake, it secures notable governance rights, including the right to nominate one director to the Solluz board. It also holds pre-emptive rights on future equity issuance and a right of first offer if Solluz's promoters move to sell shares.

The fine print: The agreement grants tag-along rights and requires Gem Enviro's prior consent for reserved matters such as changes in capital structure and new securities. These provisions let the investor keep influence over key corporate decisions.

The signal: The acquisition diversifies Gem Enviro beyond its core environmental management operations into energy. The associate classification could affect its consolidated financial reporting, depending on how far its board seat and consent rights extend.
