Try Dealroom →, a São Paulo-based provider of managed IT and cybersecurity services. Terms were not disclosed, and the deal awaits approval from Brazil's antitrust regulator, Cade.

What does Penso do? Founded more than 20 years ago, Penso serves about 1,600 corporate and public-sector clients with roughly 270 staff. It runs five datacentres in Brazil, holds ISO 27001 certification, and sells subscription managed services spanning email and collaboration tools, cloud infrastructure, backup and recovery, and managed security.

What changes for customers? Nothing, according to the companies. Penso will keep its brand, team, leadership, service channels, and infrastructure once the deal closes.

What's the endgame? Vela LatAm positions itself as a long-term investor rather than a buyer seeking an exit. "Our role is to support that trajectory and expand the company's capacity to invest in product and service, respecting the culture that brought it here," said chief executive officer Paulo Felipe Martins (translated from Portuguese).

Penso director Thiago Madeira de Lima framed the sale as a growth accelerator. "What we gain is speed, not a new direction," he said (translated from Portuguese).

Why now? If cleared, Penso will be Vela LatAm's sixth Brazilian acquisition in 2026. The firm bought environmental-licensing company OnegreenDealroom has a profile for this one. Try Dealroom → in February; three electronic-invoicing players — AlfasigDealroom has a profile for this one. Try Dealroom →, Alpino TecnologiaDealroom has a profile for this one.
