Naga lands $8M convertible from Presto, MDream to fuel multi-asset push

What's the deal? Germany's Naga Group has secured an $8 million convertible bond from institutional investors Presto and MDream to accelerate product development across its trading and digital-asset businesses. The Hamburg-based fintech runs the "Naga One" SuperApp, which unifies trading, stock and ETF investing, crypto, social trading, and neo-banking for more than 2.5 million registered users.

The terms: The convertible bond carries a 36-month term and an 8.0% annual coupon. It converts into new Naga shares at $4.2615 — a pre-money valuation of roughly $99.2 million and a 57% premium over the stock's XETRA close on October 8, 2026. Full conversion would lift Naga's share capital by about 8.1%.

Why these investors? Both bring expertise alongside capital. Presto, a quantitative trading firm founded in 2014, will help Naga develop new trading products and improve pricing, execution, and risk management. MDream brings a track record across payments, trading platforms, and digital wallets to support Naga's ambition to connect centralised and decentralised finance.

What's the endgame? The money gives Naga financial flexibility to expand its digital-asset offering and strengthen its core trading infrastructure. "We have fundamentally transformed NAGA into a leaner, more efficient and profitable business," said chief executive officer Octavian Patrascu. "The next step is to build on this foundation and accelerate growth."

The signal: The deal shows strategic investors backing a listed fintech not just with cash but with the quantitative and payments know-how needed to compete in multi-asset trading. For Naga, pairing a premium-priced convertible with operational partners is a bet that it can turn a leaner balance sheet into renewed expansion.
