Breaking it down: KSR agreed to buy 224,200 shares in i-Aurora — about 2.67% — for roughly US$1.68M (about US$1.31M). It also agreed to buy 50,000 &SOUL shares for US$1.17M (about US$906.6K) and subscribe for 40,500 new &SOUL shares at US$33.3 each, totalling about US$1.35M (about US$1.05M).
What's the endgame? After the &SOUL deals close, KSR will hold 90,500 shares, or about 30.98% of the enlarged share capital. The targets work in goods, sales channels, payments, and member services aimed at consumers.
Why now? New Silk Road said the investment fits its push into trade-related opportunities. The board believes the targets' resources could open doors to product sourcing, sales, distribution, and payment services in South Korea's consumer market.
For now, the group does not intend to join the day-to-day running of either target. Each will keep operating under its own management team.
The signal: By taking equity stakes rather than control, New Silk Road is buying a foothold to study the Korean consumer market and test partnerships, while betting on medium- to long-term capital gains.
