Quantum Healthcare to sell QT Vascular for US$0.73, booking a US$3.23M gain

What's the deal? Singapore-listed Quantum HealthcareDealroom has a profile for this one. Try Dealroom → (SGX: V8Y) has agreed to sell its wholly-owned subsidiary QT VascularDealroom has a profile for this one. Try Dealroom → to EP SystemsDealroom has a profile for this one. Try Dealroom →, a private Malaysian company, for a nominal US$0.73 (≈$1). The sale covers 100% of QT Vascular's shares and is structured on an "as is, where is" basis with limited warranties.

Why a S$1 deal? QT Vascular sat in a net liability position of roughly US$3.36M as at June 30, 2026, with nil value ascribed to its assets. An independent valuer gave the group a preliminary indicative market value of nil.

What's the endgame? Offloading QT Vascular deconsolidates about US$3.36M in net liabilities and generates an expected net gain on disposal of roughly US$3.25M. Quantum Healthcare said this will improve its financial position and "better position it for fund-raising efforts and merger and acquisition opportunities."

The numbers: Pro forma effects, assuming completion on December 31, 2025, show net tangible assets swinging from negative US$2.63M to positive US$541.9K. A net loss of US$2.01M would turn into a net gain of US$1.16M. The company will receive no net proceeds, and transaction expenses are estimated at US$75.5K.

The backstory: QT Vascular ceased its legacy medical device business in FY2021 and became a Quantum Healthcare subsidiary in July 2022, after which the group pivoted to dental services. Its only remaining assets are trust assets held for former shareholders and intangibles with nil carrying value that have produced no revenue since FY2021.

The terms: Quantum Healthcare will pay EP Systems a takeover fee of US$110K, split as US$73.3K on completion and US$36.7K when a moratorium expires on May 15, 2027. The buyer has agreed to indemnify Quantum Healthcare against certain liabilities.

What's next? The disposal is a major transaction under the Catalist Rules and needs shareholder approval at an extraordinary general meeting, plus regulatory clearances and the transfer of trust assets out of QT Vascular. The long-stop date is December 31, 2026.

The signal: The deal shows how listed companies shed dormant, liability-heavy units for a token price to clean up their balance sheets. For Quantum Healthcare, paying to exit a non-core legacy business is the cost of refocusing fully on dental services and future dealmaking.
