Beam Global strikes $24M deal for Norwegian drone inspection firm ScoutDI

What each side does: Beam Global (NASDAQ:BEEM) is a clean technology company trading on the Nasdaq. ScoutDI develops drones and planning, analysis, and reporting software for industrial inspection providers in the oil and gas and maritime sectors.

The terms: The base price is subject to adjustments for cash, debt, working capital, and transaction expenses. Beam Global will place 15% of the price in escrow for 18 months, and sellers may elect to take additional stock in lieu of cash, capped under Nasdaq Listing Rule 5635.

The earn-out: Sellers can earn more based on ScoutDI's revenue. The 2026 earn-out targets $2.4 million but reaches a maximum of $3.8 million; none is payable if revenue falls below $3.5 million. For 2027, sellers receive $2 for every $1 of revenue above $4 million.

Why now? Beam Global disclosed the agreement in an 8-K filed on October 7, 2026, one day after signing. Either party may walk away if the deal has not closed by November 4, 2026, unless both agree to extend.

What could go wrong? Closing depends on Beam Global receiving ScoutDI financial statements needed for SEC reporting and the absence of a material adverse effect. The company cautioned that "actual results may differ materially" from its forward-looking statements on timing and payments.

The signal: The deal pushes Beam Global beyond its core business into drone-based inspection for heavy industry, with much of the payout tied to ScoutDI hitting revenue targets. For the buyer, the earn-out structure shifts risk onto future performance rather than paying full value upfront.
