Accuray wins stockholder approval for $15M TCW equity deal

What's the deal? Radiation therapy company AccurayDealroom has a profile for this one. Try Dealroom → secured unanimous stockholder approval on October 6, 2026, for a financing package with TCW Asset Management Company, its lead lender and major shareholder. The deal includes a $15 million equity investment from TCW.

Why now? Accuray unveiled the broader strategy in July 2026 to shore up its balance sheet. The stockholder vote clears the final hurdle to execute the TCW transaction.

What's the endgame? Beyond the $15 million equity injection, the package converts $40 million of term loan debt into convertible preferred stock and opens a delayed draw term loan of up to $5 million. Accuray also wins relief from certain financial covenants until December 31, 2027.

The company says the moves improve cash flow and give it "runway to pursue its strategic objectives," along with greater operational flexibility.

What did stockholders approve? Three proposals passed: issuing common stock under Nasdaq Listing Rule 5635, raising the number of authorised common shares, and a reverse stock split at a ratio between 1-for-15 and 1-for-40. The board retains discretion over the exact ratio and timing, which management is weighing against market conditions.

Board changes: Alongside the financing, Accuray announced governance enhancements, including the immediate appointment of Richard A. to its board. The addition is part of the terms tied to the TCW agreement.

The signal: For a public company under financial pressure, debt-to-equity conversions and covenant relief from a major lender signal a restructuring aimed at survival and stability rather than growth. The reverse split, meanwhile, points to an effort to shore up Accuray's share price and keep its Nasdaq listing intact.
