Alteogen to absorb biologics unit in push for integrated drug pipeline

What's the deal? South Korea's AlteogenDealroom has a profile for this one. Try Dealroom → is absorbing its subsidiary Alteogen BiologicsDealroom has a profile for this one. Try Dealroom → in a merger approved by its board on October 6. The company said the deal aims to cut overlapping costs and combine capabilities to strengthen its overall competitiveness.

The details: Alteogen already owns 62.9% of Alteogen Biologics, which handles sales and marketing for drugs such as Tergase and develops candidates including macular degeneration treatment ALTS-OP01. The merger will issue 600,477 new Alteogen shares to the unit's minority holders; no shares go to Alteogen's existing 62.9% stake.

What's the endgame? Alteogen plans to build a Fully Integrated Biopharmaceutical Company (FIBCO) model spanning drug discovery through commercialisation. Until now, Alteogen handled research, development, and production, while the unit managed clinical trials, approvals, and marketing.

Why now? The company said its split structure created management complexity over product supply and development-cost settlements. It warned this risked delayed decisions and inefficient resource allocation during urgent projects, including the commercialisation of its Eylea biosimilar (ALT-L9) and Tergase's overseas expansion.

What's next? By bringing the unit's domestic and overseas sales staff in-house, Alteogen says it can skip building a commercial team from scratch when launching its own products. "This merger is a turning point for Alteogen to expand into developing and commercialising its own products," a company representative said.

The signal: The move reflects a broader drive among biotech firms to consolidate fragmented operations into end-to-end pipelines, as companies built on licensing platforms — in Alteogen's case, its Hybrozyme technology — look to capture more value by owning commercialisation themselves.
