Oldcastle BuildingEnvelope lands $300M in refinancing led by KPS Capital

What's the deal? The details: Participating lenders provided a $300 million first-out term loan and a $288 million first-out revolving credit facility, both maturing in June 2031. The deal cuts OBE's annual cash interest expense by roughly $50 million.

Why now? KPS earlier this year bought more than 90% of OBE's unsecured debt — over $540 million in face value. As part of this transaction, it exchanged those notes for third-out term loans carrying payment-in-kind interest, further reducing OBE's cash interest obligations.

What's the endgame? OBE, headquartered in Dallas, operates across the US, Canada, Europe, and Australia, with brands including CRLDealroom has a profile for this one. "This transaction is an important milestone for OBE," said chief executive officer Mark Adamson. Raquel Palmer, managing partner of KPS and chair of OBE's board, said: "KPS has tremendous conviction in OBE and its future."

The signal: At $300 million, the debt round sits in the 95th percentile for US engineering and manufacturing equipment deals, pointing to lenders' willingness to back established industrial players through balance-sheet restructuring rather than fresh equity.
