Tranquil opens $50M fund to finance mental-health clinics

What's the deal? Tranquil Healthcare Fund IDealroom has a profile for this one. Try Dealroom → has opened a Regulation A offering of up to $50 million in Class A Preferred Shares, now available to both accredited and non-accredited investors. The US Securities and Exchange Commission qualified the offering statement on June 29, 2026. Shares are priced at $10.00 each, with a minimum investment of $2,500.

What's the endgame? The Delaware-based fund was formed to partner with clinic operators and finance equipment for mental-health clinics, with a primary focus on Transcranial Magnetic Stimulation (TMS) therapy. Most net proceeds will fund secured and unsecured commercial loans to operators buying or leasing TMS equipment.

Why TMS? TMS is a non-invasive neuromodulation therapy that uses targeted magnetic pulses to stimulate brain regions tied to mood regulation. It received FDA clearance in the US in 2008 for adults with major depressive disorder who had not responded to at least one antidepressant.

What they said: "Our goal is to provide commercial loans and other consulting services to experienced clinic operators and ultimately help expand access to and awareness of evidence-based TMS treatment for patients across the United States," said Tyler Ehler, chief executive officer of Tranquil Healthcare HoldingsDealroom has a profile for this one. Try Dealroom →, the fund's manager.

The fine print: The offering is structured as a Tier 2 Regulation A deal on a best-efforts basis, meaning there is no guarantee of raising the full amount. Investors buying at least $100,000 in shares qualify for additional shares equal to 10% of those purchased, subject to the Offering Circular's terms.

The signal: Routing retail capital through a Regulation A vehicle into clinic financing reflects growing investor interest in mental-health infrastructure, positioning the fund as a lender to operators rather than a clinic operator itself.
