Carnelian raises $210M for its first India-focused PE fund
What's the deal? Carnelian Asset AdvisorsDealroom has a profile for this one. Try Dealroom → is raising a US$271.6M private equity fund, its first dedicated PE vehicle. The fund has reached a first close of roughly US$135.8M, backed by domestic family offices, ultra-high-net-worth individuals, and high-net-worth individuals. Carnelian expects a final close by December.
The details: The Carnelian PE Fund has a base size of US$163M and an US$108.6M green-shoe option. Individual commitments range from US$679K to US$2.04M, with one large US$16.3M cheque, managing partner Umesh Agarwal told Mint . Agarwal and the general partner team are committing more than US$13.6M of their own capital, over 5% of the target size.
Why now? Founded in 2019, Carnelian manages about $1.6 billion in Indian equities, almost all in public markets. It made seven opportunistic private investments between June 2023 and July 2025, which encouraged it to build a dedicated PE strategy and team.
What's the endgame? The fund targets mid-market deals, backing companies raising US$13.6M-US$40.7M. It plans 15-18 investments across a three-part structure: roughly 60% growth equity, 20-25% pre-IPO, and 20-25% listed equities. Growth stakes will run 10-25%, with exits expected in the sixth or seventh year.
The strategy: The design lets the fund shift between private and public markets based on valuations. "I didn't want to be a prisoner of my mandate that I am only private equity, and therefore I cannot take advantage of public market valuations," Agarwal said.
The signal: Agarwal calls the mid-market a "fairly less competitive" segment, sitting between small firms raising up to US$13.6M from wealth managers and large funds chasing deals above US$135.8M. Carnelian is betting that gap, plus flexibility across public and private markets, is where returns lie.
