Voyager Technologies prices $350M convertible notes to fund acquisitions
What's the deal? Voyager Technologies (NYSE: VOYG) has priced $350 million in 0% convertible senior notes due 2032, sold privately to qualified institutional buyers. The notes are scheduled to settle on September 28, 2026, with initial purchasers holding an option to buy up to an additional $52.5 million within 13 days.
The terms: The notes carry no regular interest and will not accrete. The initial conversion price is roughly $40.82 per share — a premium of about 30% over the September 23 closing price of $31.40 for Voyager's Class A common stock.
What's the endgame? Voyager estimates net proceeds of about $340.4 million. A portion will support expansion through organic growth and strategic acquisitions.
Dilution offset: Voyager will also buy a capped call intended to offset dilution, up to an initial cap of 150% above the last reported sale price at pricing. Conversions can be settled in cash, Class A shares, or a mix, at Voyager's election.
What could go wrong? The notes mature on October 15, 2032. If a "fundamental change" occurs, holders can require Voyager to repurchase the notes for cash — a potential call on liquidity if conditions shift.
The signal: At $350 million, the raise sits in the upper tier of deals by size, ranking around the 48th percentile. Turning to a zero-coupon convertible lets Voyager raise growth and acquisition capital without a cash interest burden, betting its shares climb past the conversion price before 2032.
