Try Dealroom → — for aggregate consideration of $56 million, payable in cash or Ondas common stock. The deal also carries earnout potential of up to $32 million through 2028, tied to performance milestones.

What's the endgame? Ondas wants to build an end-to-end defense platform. The three companies add acoustic counter-drone sensing, mission-critical remote control, and GPS-independent communications — capabilities Ondas plans to integrate with its existing autonomous air and ground systems.

The combined stack would span detection, connectivity, navigation, autonomy, and mission execution.

Why now? The acquired technologies are already deployed or mission-ready in contested and GNSS-denied environments, where satellite navigation is jammed or unavailable. That gives Ondas capabilities that are battle-tested rather than experimental.

Price: The purchase price represents less than 3x the businesses' expected 2027 revenue, based on Ondas' own forecasts.

What could go wrong? The deal brings dilution risk. Ondas granted inducement equity awards covering 2,979,063 restricted stock units and 80,000 options, at an exercise price of $7.72 per share, to 37 new employees on multi-year vesting schedules. At closing, 890,275 of those RSUs vest immediately; the rest vest later, subject to continued employment.

The signal: The acquisition reflects growing appetite for integrated, resilient autonomous systems as drone warfare and electronic jamming reshape defense demand. By buying proven counter-UAS and GPS-independent capabilities rather than building them, Ondas is racing to assemble a full-stack platform in a fast-consolidating market.
