Revenio launches €80M rights offering to fund Visionix takeover
What's the deal? Finnish medical technology company Revenio Group has launched a fully underwritten rights offering of approximately €80 million. Its board resolved on the terms on September 21, 2026, offering existing shareholders a maximum of 12,929,361 new shares at €6.19 each.
Why now? The offering funds Revenio's acquisition of LT International SASDealroom has a profile for this one. Try Dealroom →, parent of the Visionix InternationalDealroom has a profile for this one. Try Dealroom → group. Net proceeds will repay an outstanding €80 million bridge-to-equity facility tied to that deal, first announced in April 2026.
Who's backing it? William Demant Invest, Caravelle Capital, and the 15 other Visionix sellers have irrevocably committed to subscribe for roughly 31.4% of the shares on offer. Nordea Bank has underwritten the rest, agreeing to find buyers for — or itself subscribe to — any remaining shares.
The terms: Shareholders on the September 23 record date receive one subscription right per existing share; nine rights entitle holders to four new shares. The €6.19 price carries a discount of about 43.8% to the theoretical ex-rights price based on Revenio's September 18 close on Nasdaq HelsinkiDealroom has a profile for this one. Try Dealroom →.
What's the endgame? Revenio calls the Visionix deal "a key element in the execution of Revenio's strategy," aimed at broadening its market, adding scale, and generating synergies. Clearing the bridge facility, it says, secures a balanced capital structure and financial flexibility to pursue that plan.
The signal: At €80 million, this ranks among the larger post-IPO equity raises from Finnish marketing and medtech firms — around the 91st percentile of comparable rounds over the past four years. It shows public companies leaning on rights issues to bankroll acquisitions rather than carry debt.
