What's the deal? IVE GroupDealroom has a profile for this one. Try Dealroom → has agreed to acquire 100% of MotioDealroom has a profile for this one. Try Dealroom →, an Australian digital out-of-home media company, for US$13.4M (roughly $15 million) in cash. The deal, structured as a members' scheme of arrangement, values Motio at around 6.7 times its FY26 EBITDA and marks IVE's entry into the out-of-home advertising sector.
What each side brings: Motio owns and operates more than 1,300 digital screens across roughly 1,000 locations nationally, selling advertising airtime to national brands, local advertisers, and programmatic buyers. It runs five channels — Health, Café, Venue, Play, and Drive — typically in high-traffic, high dwell-time settings.
Why now? The acquisition fits IVE's 2030 strategy of broadening into adjacent areas such as retail media. IVE calls out-of-home "one of the fastest growing media channels in the market" and sees cross-selling potential across the combined business.
By the numbers: Motio generated FY26 revenue of US$5.95M, up 8% on FY25, and cash EBITDA of US$1.62M, up 31%, at a margin of about 27%. The company is debt-free and held a net cash position of roughly US$2.52M as of June 30, 2026.
The terms: IVE will pay US$0.04 per Motio share and US$0 per MXOAV option, funded from its existing debt facility. The deal carries no regulatory or financing conditions, and Motio's board has unanimously recommended shareholders vote in favour.
What's the endgame? IVE expects the acquisition to lift earnings in FY27 before synergies and one-off costs, and to be EPS accretive. Owning Motio's screen network gives IVE a foothold in a channel it can pair with its existing client base.
The signal: The move reflects continued consolidation in Australian media, with established players buying into digital out-of-home as advertisers shift budgets toward addressable, location-based formats.
