The guarantee, disclosed on September 19, 2026, lifts the group's total external guarantees to US$9.74M.

By the numbers: The new guarantee runs for three years with no counter-guarantee, on top of an existing US$2.75M balance already extended to the same subsidiary. Total external guarantees now equal 2.52% of GrandDealroom has a profile for this one. Try Dealroom → Orient's most recent audited net assets.

Why now? The commitment supports a comprehensive credit agreement Sanfengqiao signed with Everbright on September 17, 2026. It falls within a US$134.8M guarantee ceiling that shareholders approved for 2026, so no additional board or shareholder vote is required.

What about the subsidiary? Sanfengqiao, a food producer, posted first-half 2026 net profit of US$221.4K, down sharply from US$2.19M for full-year 2025. Half-year revenue of US$7.65M ran below half the US$13.5M recorded for all of 2025. Its total liabilities rose to US$18.3M by June 30, 2026, from US$13.9M at the end of 2025. The 2026 figures are unaudited.

What could go wrong? The guarantee carries no counter-guarantee, meaning Grand Orient bears direct liability if the subsidiary defaults. The company said Sanfengqiao remains solvent and is not a defaulter on record, and that the arrangement will not materially affect its operations.

The signal: All of Grand Orient's outstanding guarantees are for its own subsidiaries, with none extended to its controlling shareholder or related parties and no overdue amounts. With exposure at 2.52% of net assets, the risk is contained — but the subsidiary's weakening earnings and rising debt are worth watching.
