FIS buys AI-native OpenCoreOS months after launch as core banking consolidates

Companies House records put the change of control on March 18, when FIS registered ownership of at least 75% of the UK entity's shares and voting rights.

Why now? OpenCoreOS was introduced in October 2025 as an AI-native core modernisation platform, with general availability planned for the first quarter of 2026. Somji founded it with former HSBCDealroom has a profile for this one. Try Dealroom → global CIO Steve Van Wyk, CTO Slavo Vojacek, and chief AI and product officer Ricky Marcon. The company said its platform could run across several cloud providers at once, so an outage at one would not take a bank offline.

The hire: Somji has joined FIS as president of enterprise platforms, a move analysts read as central to the rationale. "You do not make the founder of a months-old startup President of Enterprise Platforms because you wanted his code," says Paul Schaus, founder of consultancy CCG Catalyst. "FIS bought a blueprint and the person who drew it."

What's the endgame? FIS already runs several core banking systems, including its Modern Banking Platform, launched in early 2020 as a cloud-native, staged upgrade path. OpenCoreOS adds another newer-generation platform to that mix. Daniel Mayo, principal analyst at Celent, suggests the technology "would be the main play," alongside bringing in people who understand modern platforms.

Why buy rather than build? "It tells me the large providers have decided it is faster and cheaper to buy innovation than to build it," Schaus says. On OpenCoreOS, he notes: "When a company that is young gets acquired, the buyer is not buying a business, because there was no business yet. FIS bought the technology direction, the team, and time."

What could go wrong? FIS has not said why the deal went unannounced, whether OpenCoreOS remains a standalone product, or whether any banks were live on the platform when it completed. That leaves questions about integration and adoption open.

The signal: Bigger core banking providers are increasingly buying newer technology rather than building it, and analysts expect more deals to follow. "Six years after launching it, FIS went out and bought an AI-native core," Schaus says — a sign of how fast the race to modernise legacy banking systems has moved.
