Skye Bioscience lands up to $22M equity line from Redmile to fund Redx deal

The facility, disclosed in a Form 8-K filed August 24, ties directly to Skye's planned acquisition of Redx Pharma.

How it works: Under the agreement, Skye must direct Redmile to buy common or non-voting shares each month, capped at $2 million monthly. Purchase prices will be the lesser of the private investment in public equity (PIPE) price or market price, floored at a 10% discount to the PIPE price.

Why now? The equity line gives Skye committed capital to fund operations and support the Redx acquisition. Redmile's purchase obligations hinge on the closing of both the Redx transaction and the PIPE.

The fine print: The $22 million ceiling shrinks if funded PIPE proceeds exceed $103 million, and the facility terminates entirely if that amount hits $125 million. The three-year term runs from the PIPE closing date.

The sweetener: Skye will issue Redmile a $5 million warrant, exercisable from January 1, 2027 through January 1, 2030. The warrant is issuable regardless of whether any equity-line shares are purchased.

What could go wrong? Because Skye must draw the facility monthly, existing shareholders face ongoing dilution. Share issuances are also capped at 7,080,740 shares — 19.99% of outstanding stock — unless shareholders approve more.

The signal: The structure shows how smaller biotechs are stacking financing tools — PIPE, equity line, and warrants — to fund acquisitions rather than relying on a single raise. Skye must file a resale registration statement within 10 business days of the PIPE closing, covering both the equity-line and warrant shares.
