How it works: The three agents will sell shares from time to time on a best-efforts basis, using ordinary broker transactions on Nasdaq at prevailing market prices. Alto initiates each sale with a placement notice specifying share count, a minimum price and a timeframe. It can suspend or terminate a placement at any time.

Why now? The ATM sits under Alto's shelf registration statement, which the Securities and Exchange Commission declared effective on 22 May 2026. The company disclosed the programme in a Form 8-K signed by chief financial officer Robert R. Olander and dated 7 August 2026.

What's the endgame? Alto intends to use net proceeds for general corporate purposes, including working capital and capital expenditures. The filing did not disclose a dollar cap for the programme.

The signal: An ATM gives Alto a flexible tap to raise equity when conditions suit, rather than through a single large raise. That optionality lets the company time sales to market strength, while dilution builds gradually for existing shareholders.
