GTCR closes debut $1.25B Capital Solutions Fund for structured minority deals

What's the deal? GTCRDealroom has a profile for this one. Try Dealroom → has closed its inaugural Capital Solutions Fund and affiliated vehicles with roughly $1.25 billion in aggregate commitments. The Chicago private equity firm said limited partner commitments came almost exclusively from existing, long-term investors in other GTCR funds. Backers include public and corporate pension plans, endowments and foundations, sovereign wealth funds, and financial institutions.

What's the endgame? The fund invests in minority structured equity and debt, primarily in the middle market, often funding M&A and other growth. It targets companies within GTCR's core industry domains, prioritising recurring revenues, strong free cash flow, and defensible franchise value. The fund has already made several investments.

Why now? The vehicle extends GTCR beyond its usual control deals. "This strategy is highly complementary to our Flagship and Strategic Growth Funds and enables us to invest in minority structured opportunities across the middle market," said co-CEOs Dean Mihas and Collin Roche.

The fund can co-invest alongside GTCR's Flagship Funds on larger structured deals, and may invest in traded equity and credit where appropriate.

Who runs it? The Capital Solutions team works with GTCR's industry teams and its Capital Markets team, led by managing director Jim Bonetti. The signal: GTCR is betting on rising demand for structured minority capital. "We believe this Fund is well-positioned to address a growing need in the market for structured minority capital solutions with attractive risk-adjusted return profiles," said Jodi Rubenstein, managing director and head of investor relations.
