Inventiva Targets U.S. Markets With New Offering to Boost MASH Therapy Development

Inventiva, a clinical-stage biopharmaceutical company specializing in therapies for fibrotic and metabolic diseases, has announced the launch of an underwritten public offering of new American Depositary Shares (ADSs) in the United States. The offering is expected to raise approximately US$125 million, with proceeds directed toward advancing the company’s late-stage pipeline, including its Phase 3 program in metabolic dysfunction-associated steatohepatitis (MASH).

Founded in 2011 Inventiva has built its identity around developing oral small-molecule therapies targeting diseases with high unmet need. Based in Daix, the company maintains a fully integrated R&D platform, including medicinal chemistry, pharmacology, translational research and small-batch manufacturing capabilities. Its flagship candidate, lanifibranor, is a first-in-class pan-PPAR agonist currently being evaluated in NATiV3, a pivotal Phase 3 clinical trial for adult patients with MASH.

The newly announced U.S. offering marks another step in the company’s long-term strategy to secure funding for late-stage development and support potential future commercialization. Inventiva stated that the proceeds will help finance the continued execution of NATiV3, preparation for an outcome trial, and broader operational needs including working capital.

One day after the launch announcement, Inventiva confirmed the pricing of the offering at US$3.85 per ADS, with a total of 38,961,038 ADSs issued. Gross proceeds are expected to reach roughly US$150 million, with the potential to rise to more than US$160 million if underwriters exercise their optional additional allotment. According to the company, the financing is intended to extend its operational runway into at least the first quarter of 2027.
