Helps private companies and investors streamline transaction workflows MoreLess
SecondMarket Solutions, Inc. operated as a pivotal marketplace for illiquid assets, most notably facilitating the trading of private company stock before its acquisition. Founded in 2004 by Barry Silbert, the company was initially known as Restricted Stock Partners, Inc. Silbert, a finance graduate from Emory University with a background in investment banking at Houlihan Lokey, identified a gap in the market for a centralized, transparent platform to trade alternative and restricted assets. His experience with corporate restructurings and bankruptcies like Enron and WorldCom highlighted the need for liquidity in such opaque markets, leading to the creation of SecondMarket.
The firm initially focused on providing liquidity for restricted securities in public companies but significantly expanded its scope. In 2009, it launched its market for private company stock, which became its most prominent feature, allowing employees and early investors of high-growth, pre-IPO companies like Facebook and Twitter to sell their shares to accredited investors. This addressed the growing pressure on private companies, which were staying private for longer, to provide liquidity options for shareholders. The business model primarily involved charging a transaction fee, typically ranging from 3% to 5%, which was split between the buyer and seller.
The platform's software streamlined private securities transactions, offering scale and efficiency for both private issuers and law firms. For private companies, it provided a controlled environment to manage secondary liquidity, which helped in attracting and retaining talent. For investors, it offered access to pre-IPO companies. Over time, the company's focus shifted from brokering one-off trades to facilitating larger, company-sponsored tender offers and buybacks. In October 2015, SecondMarket Solutions was acquired by Nasdaq and integrated into the NASDAQ Private Market. The acquisition aimed to create a comprehensive platform for private companies to manage their equity and liquidity needs throughout their lifecycle before a potential public offering. The entire SecondMarket team, including then-CEO Bill Siegel who went on to lead the combined business, joined NASDAQ Private Market as part of the transaction.
