About OncoEthix
OncoEthix SA was a Swiss-based, clinical-stage biotechnology company that specialized in the development of oncology drug candidates. Founded in 2009 by a team of experienced oncology professionals—Dr. Esteban Cvitkovic, Dr. J. Kay Noel, Yves Paternot, and Dr. Patrice Herait—the firm was established to identify and advance a focused portfolio of promising cancer treatments. The founders brought extensive experience from Cvitkovic & Associes Consultants SA, a clinical research organization, with Dr. Cvitkovic having played a key role in the clinical development of major oncology drugs like oxaliplatin and docetaxel. This deep expertise in oncology drug development was a core component of the company's strategy.
The company's business model centered on in-licensing promising drug candidates and developing them through to clinical proof of concept. Once a drug showed meaningful clinical activity and a clear registration path was identified, the strategy was to seek pharmaceutical partners for late-stage pivotal trials and commercialization. This approach was funded by approximately $30 million in venture capital from investors including Index Ventures, SV Life Sciences, Endeavour Vision, and Edmond de Rothschild Investment Partners. The company’s primary asset was OTX015, an investigational, orally administered small molecule inhibitor. In March 2012, OncoEthix in-licensed OTX015 from Mitsubishi Tanabe Pharma Corporation after it had completed initial Phase I studies in healthy volunteers. OTX015 targets BET bromodomain proteins (BRD2/3/4), which are critical in regulating the transcription of key cancer-driving genes, most notably c-Myc. By inhibiting these proteins, the drug demonstrated the potential to stop cancer cell growth, making it a promising candidate for treating hematological malignancies like acute leukemia and various lymphomas, as well as advanced solid tumors.
The significant potential of OTX015, which showed promising clinical activity in Phase Ib studies, culminated in a major milestone for the company. In December 2014, Merck & Co. acquired OncoEthix to bolster its own oncology pipeline. The acquisition deal was valued at up to $375 million, consisting of an upfront payment of $110 million and up to $265 million in subsequent milestone payments contingent on clinical and regulatory achievements. This successful exit validated the company's strategy of identifying and de-risking high-potential oncology assets for acquisition by major pharmaceutical players.
