This success culminated in a strategic transaction in 2017, when Merrimack sold ONIVYDE, along with its commercial and manufacturing infrastructure, to the French pharmaceutical company Ipsen S.A. for $575 million upfront and potential future milestone payments. This deal marked a fundamental change in the company's business model, transforming it from an integrated R&D and commercial organization into a streamlined entity focused on advancing a smaller pipeline of clinical candidates, including MM-121, MM-141, and MM-310.

Following the asset sale, Merrimack underwent significant restructuring, including substantial workforce reductions and the discontinuation of various clinical programs after reviewing trial data. By July 2019, the company had ceased R&D operations and laid off its remaining employees, transitioning to a model where its activities are managed by external consultants. The company's business model now exclusively relies on potential milestone payments from prior asset sales. Specifically, these include contingent payments from Ipsen related to ONIVYDE's regulatory approvals for new indications and from Elevation Oncology for anti-HER3 programs sold in 2019.
