About KIT digital

KIT digital operated as a global technology company specializing in cloud-based video asset management solutions for multi-screen delivery. The company's trajectory began in late 2007 when Kaleil Isaza Tuzman, a former Goldman Sachs analyst and entrepreneur, acquired a controlling interest in ROO Group, which was then rebranded as KIT digital in 2008. Tuzman, who had previous entrepreneurial experience with govWorks, Inc. and KPE, Inc., took on the roles of CEO and chairman.

The firm pursued an aggressive growth-by-acquisition strategy, quickly purchasing numerous companies in the digital media and IP video sectors. Notable acquisitions included Sputnik Agency, Visual Connection, and Kamera in 2008, followed by Narrowstep, The FeedRoom, and others in 2009. This strategy positioned KIT digital as a major provider of video software and services, leading to its listing on the NASDAQ Global Market under the ticker "KITD" in August 2009. By 2010, the company was estimated to control a significant portion of the internet video-management software market. The acquisition spree continued into 2011 with the purchase of Kyte, KickApps, and Kewego for approximately $77.2 million, aiming to broaden its technological capabilities and geographic reach, particularly in social media integration and mobile video.

KIT digital's business model was centered on providing software-as-a-service (SaaS) platform fees and recurring licensing fees for its IP video management software. The company served a diverse client base that included enterprises, media companies, government entities, and non-profit organizations, helping them manage, deliver, and monetize video content across various IP-connected devices. However, the company's rapid expansion masked significant financial issues. From 2010 to 2012, CEO Kaleil Isaza Tuzman and other executives, including CFO Robin Smyth and President Gavin Campion, engaged in a scheme to fraudulently inflate the company's revenue and assets. They were later charged and convicted of securities fraud and other related offenses for recognizing improper revenue and using company funds to create a deceptive picture of its financial health. This led to the company restating its financial results, being delisted from NASDAQ in late 2012, and ultimately filing for Chapter 11 bankruptcy in April 2013. Upon emerging from bankruptcy in August 2013, the company was restructured and rebranded as Piksel Inc., which continues to provide technology services to the media industry.
