About Finjan Holdings

Finjan Holdings, a company centered on cybersecurity intellectual property, was established in 1996 by Israeli serial entrepreneur Shlomo Touboul. Touboul's prior venture, Shani Computers, was acquired by Intel in 1994, marking one of the first instances of a major U.S. corporation purchasing an Israeli startup. After a period at Intel, Touboul founded Finjan, which pioneered behavior-based, real-time detection of online threats by analyzing code patterns rather than relying on existing threat signatures.

The company's primary business model revolves around licensing its extensive patent portfolio. This strategy has led to numerous licensing agreements and a significant number of patent infringement lawsuits against major software and security companies. Over the years, Finjan's initial shareholders included prominent names like Cisco, Microsoft, Bessemer Venture Partners, and Benchmark Capital. In 2009, the hardware and software divisions were sold to M86 Security (later acquired by Trustwave), with Finjan retaining and continuing to license its core web security patents. The company became publicly traded on NASDAQ in 2014 under the symbol FNJN, following a recapitalization in 2013.

Finjan's business operations were multifaceted, including the development of mobile applications through Finjan Mobile and a consulting services arm, CybeRisk, which closed in 2018. The company also engaged in strategic investments, such as a partnership with Jerusalem Venture Partners (JVP) to incubate new cybersecurity technologies. A significant development occurred in June 2020, when Finjan entered into a definitive agreement to be acquired by affiliates of Fortress Investment Group LLC in an all-cash transaction valued at approximately $43.9 million. The acquisition was completed in July 2020, resulting in Finjan becoming a private company and its stock being delisted from NASDAQ. The stated intention post-acquisition was for Finjan to maintain its brand and continue its business model of licensing and enforcing its patent portfolio.
